This website is operated by RAILS. Throughout the site, the terms “we”, “us” and “our” refer to RAILS. RAILS offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.


SECTION 1 - ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.


SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. In no case shall RAILS, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend and hold harmless RAILS and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.


SECTION 15 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.


SECTION 16 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).


SECTION 17 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of 1501 S. Santee St., Suite 302, LOS ANGELES, CA, 90015, United States.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

SECTION 20 - SOCIAL PROMOTIONS, GIVEAWAYS, CONTESTS, CHALLENGES, OR SIMILAR PROMOTIONS

Any sweepstakes, contests, challenges, activities, surveys, or similar promotions made available through a Rails platform may be
governed by specific rules that are separate from these Terms of Use. By participating in any such sweepstake, contest, challenge,
activity, survey, or promotion, you will become subject to those rules, which may vary from the terms and conditions set forth herein.
The Company urges you to read the applicable rules, which are linked from the particular activity, and to review our Privacy Policy
which, in addition to these Terms of Use, governs any information you submit in connection with such activities.
Any promotion ran on our Instagram platform is not associated or sponsored in any way by Instagram.

 

By participating in this Sweepstakes, all Entrants and prize winners release, discharge, and hold harmless Rails, Instagram, Facebook, Twitter or YouTube, and their partnerships, subsidiaries, divisions, branches, affiliates, assigns and agencies, including, without limitation, their respective officers, directors, shareholders and employees (collectively "Released Parties") from and against any and all liability or claims for any and all legal claims, injury, loss, illness, litigation or damages arising out of their participation in the Sweepstakes and/or the acceptance, use, misuse, non-use or possession of the prize.

WHOLESALE TERMS AND CONDITIONS

SHIPPING

The standard shipping rate for all orders placed on the Canada site is $19.95.

RETURNS

All orders placed through the Canada Rails site have a period of 14 days from the date of delivery to be returned for a refund back to the original form of payment. All returns made 15-30 days after delivery may be for exchange or store credit only. 

A $7.95 CAD return processing fee applies to eligible returns and will be deducted from your refund. This fee is waived for Rails VIP Tier 2 members and above.

 

Rails VIP Terms & Conditions

Effective Date: 07/07/2026

1. Acceptance of Terms

These Terms & Conditions ("Loyalty Terms") govern participation in the Rails VIP program (the "Program"), operated by Rails International, LLC. ("Rails," "we," "us," or "our"). The Program is available online only at https://ca.rails.com/. By enrolling in, accessing, or participating in the Program in any way, you ("Member" or "you") agree to be bound by these Loyalty Terms and by our Privacy Policy [https://ca.rails.com/pages/privacy-policy], which is incorporated by reference. If you do not agree, do not enroll in or use the Program.

We may update these Loyalty Terms from time to time as described in Section 9 below. Continued participation in the Program after changes take effect constitutes acceptance of the revised terms.

2. Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to enroll in the Program.

  • You must have a valid Rails account and a valid email address to participate.

  • You must have a valid shipping address in the region served by https://ca.rails.com/.

  • Rails employees are not eligible to participate.

  • Only one Program account is permitted per person. Accounts are non-transferable (see Section 8).

Rails reserves the right to verify eligibility and to refuse, suspend, or terminate participation for anyone who does not meet these requirements or who provides false or misleading enrollment information.

3. Enrollment and Participation

Enrollment in the Program is free and voluntary. You may enroll online at https://ca.rails.com/. Once enrolled, your Program account tracks activity online — points earned, redeemed, and Tier status. 

4. Earning Points

Members earn points through the following activities online unless otherwise noted:

  • Qualifying purchases: $1 spent = 1 point at the base (Tier One and Tier Two) rate (see Section 7 for Tier details).

  • Tier-based earning rates: Tier Three members earn 1.5 points per $1 spent. 

  • Referrals: see the separate Referral Program Terms.

  • Birthday reward: an annual, Tier-based reward available during a Member's birthday month (see Section 4.2).

  • Other designated promotional activities identified by Rails from time to time .

4.1 Timing of Points

Points from a qualifying purchase are awarded after the applicable return window for that order has closed (i.e., points are not credited to a Member's balance at the time of purchase). This is intended to ensure points are only issued on purchases that are not later returned. Once awarded, each batch of points earned carries its own expiration date, tied to the date it was credited (see Section 6).

4.2 Birthday Reward

Members receive an annual birthday reward, the value and/or type of which is determined by their Tier at the time (see Section 7). The reward is valid only during the Member's birthday month and expires at the end of that month if unused.

5. Redeeming Points

Points may be redeemed for the following reward:

  • Every 500 points = $25 off a purchase.

The following rules apply to redemption:

  • Rewards may be applied on top of active sale or promotional discounts.

  • Rewards must be applied at the time of checkout and cannot be applied retroactively to a completed order.

  • Rewards are subject to availability and may be modified, restricted, or discontinued at Rails' discretion, in accordance with Section 9.

  • Rewards may not be applied during purchase of a Gift Card.

6. Point Expiration and Returns

6.1 Point Expiration

Points expire 12 months after they are earned. Because points are awarded in batches tied to specific qualifying activities, each batch of points has its own expiration date based on the date it was credited to the Member's account — not a single account-wide expiration date. Rails will provide notice of upcoming expiration where required by law and as a courtesy where feasible (e.g., via email). Expired points are forfeited and cannot be reinstated except as required by applicable law.

6.2 Returns

Because points are not awarded until after the applicable return window closes, most returns will not result in a point deduction, as no points will yet have been issued on that order. In the limited circumstances where a return, price adjustment, or chargeback occurs after points have already been issued (for example, a warranty return or exchange processed outside the standard return window), Rails reserves the right to deduct the corresponding points from the Member's account, even if those points have already been redeemed for a Reward. If a deduction results in a negative point balance, the negative balance will offset the Member's future earned points.

If a Reward (e.g., a $25-off discount) was applied to an order that is later returned, the value of the discount applied may be deducted from the refund amount, to the extent permitted by applicable law.

7. Tier Structure, Qualification, and Changes

The Program includes a VIP Tier structure that provides progressively greater benefits and earning rates based on a Member's total spend, evaluated on a rolling 12-month basis measured from that Member's original sign-up date (i.e., each Member's evaluation period is anchored to their own anniversary date, not a fixed calendar date).

7.1 Tiers

  • Tier One — Free to join. Earning rate: $1 = 1 point.

  • Tier Two — Unlocked at $500 in trailing 12-month spend. Earning rate: $1 = 1 point. Benefits: [list Tier Two benefits].

  • Tier Three — Unlocked at $1,000 in trailing 12-month spend. Earning rate: $1 = 1.5 points. Benefits: [list Tier Three benefits].

7.2 Tier Changes

Tier status is evaluated on a rolling 12-month basis from each Member's sign-up date. Members who do not maintain the qualifying spend threshold for their current Tier during the applicable rolling period may be moved to a lower Tier, and Tier-specific benefits and earning rates will change accordingly going forward. Rails will provide notice of downgrades where required by law and as a courtesy where feasible. Rails reserves the right to designate invitation-only or discretionary membership tiers from time to time, subject to separate eligibility criteria.

8. Account Restrictions and Transferability

Program accounts, points, and Tier status are personal to the Member, are non-transferable, and may not be sold, bartered, gifted, or otherwise assigned to another person or account, except as we may expressly permit. Points and Rewards have no value except as redeemable through the Program and cannot be redeemed for cash, cryptocurrency, or cash equivalents under any circumstances. If a Member closes their account, or if Rails terminates a Member’s participation in the Program, all unused points and unredeemed Rewards will be forfeited unless otherwise required by applicable law.

9. Program Modifications and Termination

Rails reserves the right to modify or terminate the Program. Material changes will become effective upon posting updated Loyalty Terms (or through other notice where required by applicable law). Such changes will not retroactively affect Rewards that have already been redeemed. If the Program is terminated, Rails will provide advance notice to the extent reasonably practicable to Members so they may redeem any unused points and Rewards before termination takes effect. Any points and Rewards that remain unused as of the termination date will be forfeited.

10. Fraud, Abuse, and Misuse

Members may not attempt to earn, redeem, transfer, or accumulate points through fraudulent, abusive, or deceptive means, including but not limited to:

  • Creating multiple accounts for the same individual or household

  • Using false, incomplete, or another person's identity or payment information

  • Exploiting technical errors or vulnerabilities in the Program.

  • Engaging in transactions with no legitimate retail purpose (e.g., purchasing and immediately returning items solely to earn or redeem points or advance Tier status)

Rails reserves the right to investigate suspected violations, and to withhold, deduct, or reverse points, void Rewards, adjust Tier status, and suspend or permanently terminate a Member's Program account and/or Rails account, without liability, if we determine in our reasonable discretion that this Section has been violated.

11. Disclaimers; No Cash Value; Limitation of Liability

  • Points and Rewards have no cash value and cannot be exchanged, sold, or redeemed for cash, credit, or any cash equivalent.

  • Rails Program is provided "as is." Rails does not guarantee uninterrupted or error-free operation of the Program and is not responsible for technical failures, lost or delayed point postings, or unavailability of Rewards.

  • To the fullest extent permitted by law, Rails's liability arising from or related to the Program is limited to the value of the points or Rewards at issue, and Rails disclaims liability for indirect, incidental, or consequential damages.

  • Members are solely responsible for any federal, state, or local taxes arising from participation in the Program or receipt of Rewards, where applicable.

12. Privacy

Participation in the Program involves the collection and use of personal information, including purchase history across online, Tier status, and engagement activity, in order to administer points, Tiers, and Rewards. This information is collected and used in accordance with Rails's Privacy Policy [https://ca.rails.com/pages/privacy-policy]. Please review it for details on what is collected and how it's used.

13. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Rails VIP Referral Program Terms & Conditions

Effective Date: 07/07/2026

1. Acceptance of Terms

These Referral Program Terms & Conditions ("Referral Terms") govern the referral component (the "Referral Program") of the Rails VIP loyalty program (the "Loyalty Program"), operated by Rails International, LLC . ("Rails," "we," "us," or "our"). The Referral Program allows an existing Member ("Advocate") to refer friends or contacts ("Referred Friends") to Rails in exchange for a reward, subject to these Referral Terms.

These Referral Terms supplement, and should be read together with, the Loyalty Program Terms [link] and our Privacy Policy [https://ca.rails.com/pages/privacy-policy]. In the event of a conflict between these Referral Terms and the general Loyalty Program Terms specifically with respect to referral activity, these Referral Terms control.

By using a referral link, or otherwise participating in the Referral Program as an Advocate or as a Referred Friend, you agree to be bound by these Referral Terms. If you do not agree, please refrain from participating in the Referral Program.

2. Eligibility

2.1 Advocate Eligibility

  • You must be at least 18 years old and have an active, enrolled Rails VIP account in good standing to participate as an Advocate.

  • You may not refer yourself, and you may not create or use multiple accounts to generate additional referral rewards for yourself. Accounts found to violate this rule may be terminated, and the associated Member disqualified from future participation in the Referral Program.

  • Rails employees, contractors, and immediate family members are eligible to participate as Advocates.

  • You may not participate in the Referral Program where doing so would be prohibited by applicable law or regulation.

2.2 Referred Friend Eligibility

  • A Referred Friend must be a new customer who does not already have a Rails account or purchase history with Rails. If someone who already has an account attempts to claim a referral discount, the referral will not be counted.

  • A Referred Friend must be at least 18 years old.

  • Referrals are limited to one per household. If multiple members of the same household participate in the Referral Program, only the first person to claim a referral will be eligible for the Referral Reward; subsequent claims from the same household will not be honored.

3. How the Referral Program Works

The referral process follows these steps:

  • Step 1 — Advocate Signup: As an enrolled Member, you receive a unique referral link through your account or the online Program page.

  • Step 2 — Share Your Link: You share your referral link via email, text message, or social sharing channels made available within the Program interface.

  • Step 3 — Friend Claims Referral: When a Referred Friend clicks your link, they claim their referral by entering their email address. This creates a pending referral.

  • Step 4 — Friend Makes a Qualifying Purchase: Your Referred Friend uses their referral discount to make a purchase of $100 or more (a "Qualifying Purchase," defined further in Section 4). The referral becomes complete once that order is marked as fulfilled in our system.

  • Step 5 — Rewards Issued: After the Referred Friend's order has been fulfilled, both you and your Referred Friend each receive $25 off (the "Referral Reward"), as described in Section 5.

  • Referral Rewards may be redeemed online only.

4. Qualifying Purchases

A "Qualifying Purchase" means a purchase made by a Referred Friend that meets all of the following:

  • Is the Referred Friend's first purchase from Rails, made using the Advocate's referral link;

  • Totals $100 or more; gift cards are excluded

  • Is not identified as fraudulent or in violation of these Referral Terms.

If a Referred Friend's order is later cancelled, returned, or charged back such that it no longer qualifies (for example, a partial return that brings the order under $100), any Referral Reward already issued to the Advocate and/or Referred Friend may be reversed or deducted from the relevant account, consistent with the reward-reversal provisions of the Loyalty Program Terms.

5. Referral Reward Timing and Fulfillment

  • Timing: Referral Rewards are processed only after the Referred Friend's order has been marked as fulfilled in our system — typically once the order has shipped and been delivered — rather than at the moment the order is placed.

  • Verification period: Some Referral Rewards may be subject to a brief verification period after fulfillment, to confirm the purchase is legitimate and not subject to a return or chargeback, before the reward is finalized.

  • Reward type: The current Referral Reward is a $25-off discount issued to both the Advocate and the Referred Friend. Rails reserves the right to offer the reward as a discount code, points, or another benefit in the future, as described on the Program page at the time.

  • Delivery: Referral Rewards will be delivered through the Member's account dashboard, email notification, or other method as configured for the Program.

Referral Rewards have no cash value, are non-transferable, and cannot be redeemed for cash. Unless otherwise stated, Referral Rewards are subject to the same stacking and redemption-timing rules described in the Loyalty Program Terms (including that Rewards may be applied on top of sale pricing, but cannot be applied retroactively after checkout).

6. Referral Status

Referrals move through the following statuses over their lifecycle:

  • Unclaimed — a referral link has been shared but the Referred Friend has not yet claimed it.

  • Pending — the Referred Friend has claimed the referral (Step 3 above) but has not yet completed a Qualifying Purchase.

  • Completed — the Referred Friend has made a Qualifying Purchase and the order has been fulfilled; the Referral Reward is issued.

  • Blocked — the referral has been blocked due to fraud-prevention measures or a violation of these Referral Terms.

  • Ineligible — the referral does not meet Program requirements (for example, the $100 minimum purchase was not met, or the Referred Friend was an existing customer).

7. Misuse and Fraud Prevention

The Referral Program is intended to reward genuine recommendations between people who know each other. Rails reserves the right to use automated and manual methods to detect and prevent fraud, abuse, and misuse of the Referral Program. The following conduct is prohibited and may result in disqualification of a referral, forfeiture of Referral Rewards, and/or suspension or termination of a Member's account:

  • Self-referrals or referring a secondary account, email alias, or household member's account controlled by the same individual

  • Creating fraudulent or duplicate accounts to generate Referral Rewards

  • Using a referral link on coupon or deal-aggregator sites, or through unsolicited bulk email or text distribution

  • Referring individuals who did not consent to receiving the communication

  • Any other activity intended to abuse, exploit, or circumvent the intent of the Referral Program

Rails may block, withhold, or reverse a referral or Referral Reward at its discretion where such activity is suspected. Rails reserves the right to disqualify any user from the Referral Program at its discretion, including for harmful conduct toward Rails, its staff, or other customers, and reserves the right to make final determinations on eligibility and disqualification.

8. Compliance with Marketing and Communications Laws

Advocates are solely responsible for ensuring that any referral communication they personally send complies with applicable law, including but not limited to the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and any applicable state marketing or "friend referral" statutes, as well as applicable industry guidelines for SMS messaging. By using the Referral Program to send an email or text message invitation, you represent that:

  • You have the recipient's consent, or another lawful basis, to send them the referral communication;

  • You will not send referral communications to individuals who have asked not to be contacted by you or by the referred individual;

  • Rails, not you, is responsible for any subsequent marketing messages the Referred Friend may separately opt in to receive from Rails (for example, via a marketing-preferences checkbox presented during the claim or purchase flow), and any such messages will comply with applicable opt-in and opt-out requirements.

Rails reserves the right to suspend or terminate access to the Referral Program's sharing tools for any Advocate who violates this Section or whose use of those tools generates complaints or legal risk.

9. Program Modifications and Termination

Rails reserves the right to modify, suspend, or terminate the Referral Program, or any part of it — including eligibility criteria, the Qualifying Purchase threshold, and the Referral Reward type or value. We will notify Members of significant changes through updates to these Referral Terms or other direct communications. Referral Rewards earned prior to any such change will be honored subject to the Loyalty Program Terms. If the Program is terminated, Rails will provide advance notice to the extent reasonably practicable so Members may redeem any unused Rewards before termination takes effect. Any Rewards that remain unused as of the termination date will be forfeited.

10. Liability

Rails is not responsible for any incorrect or inaccurate information supplied by an Advocate or Referred Friend in connection with the Referral Program. Except as modified by this Section, the liability and disclaimer provisions of the Loyalty Program Terms [link] apply equally to the Referral Program.

11. Relationship to Loyalty Program Terms and Privacy Policy

Except as modified by these Referral Terms, all provisions of the Loyalty Program Terms [link] — including disclaimers, limitation of liability, and governing law — apply equally to the Referral Program. Personal information collected through the Referral Program (including information about Referred Friends) is handled in accordance with Rails's Privacy Policy [https://ca.rails.com/pages/privacy-policy].

12. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

14. Program Participation Agreement

By participating in the Referral Program, you agree to these Referral Terms. It is your responsibility to read and understand these Referral Terms before participating. Your participation constitutes acceptance of all Referral Program rules, fraud-prevention measures, and reward-fulfillment processes outlined above. We reserve the right to update these Referral Terms as the Referral Program evolves to include new features, security measures, or customization options. Continued participation after any changes constitutes acceptance of the updated terms.
